If CEOs were treated like stocks someone might halt trading in Steve Ballmer .... Andrew Ross Sorkin spent some time chatting up the Microsoft NSDQ MSFT chiefs fellow CEO and exceutives at Sun Valley and came away with something missing until nowempathy for Jerry Yangplus a heavy dose of disbelief at Ballmers Batman-Robin routine with Carl Icahn. No I dont know which is which. Googles NSDQ GOOG Eric Schmidt couldnt resist although maybe he should have Microsoft has a long history of having deals that look quite good and end up looking not so good when you look at the fine print. At least Schmidts comments are attached to his name. Its easy to take potshots when you can be an anonymous media executiveIf Microsoft called to buy your company would you call them back?or a technology CEOAt this point its embarrassing ... Ballmer should either buy the company or forget it. That last was whispered just out of earshot of Bill Gates. One invitee asked. What global company in their right mind formally teams up with Mr. Icahn? Then theres Yang overlooking the duck pond and asking Sorkin about Icahn Do you let the fox in the henhouse?. ... Weve had rational conversations....He said to me I like you but I have to get rid of you. As for Yangs contention that Microsoft has been trying to undermine Yahoo NSDQ YHOO to set up a fire sale writes Sorkin judging by Microsofts recent actions it is becoming harder to argue with him.
Yahoo Deja Vu Jerry Makes His Case Again YHOO MSFT

A few days after Jerry Yang makes his case to the WSJ he does the same thing with the papers corporate cousin -- Kara Swishers Boomtown. Well say this for Jerry Hes staying on message. That message? Carl has no plan Microsoft has never been serious about buying us.I think handing over the company to Carl Icahn for the express purpose of hoping he can negotiate a complex deal with Microsoft is a big mistake for shareholders said Yang firmly and in no uncertain terms to me. This is particularly true since Icahn has no plan B and therefore will have no leverage and will be dealing with Microsoft from a position of weakness.Furthermore Microsofts interest in Yahoo has been inconsistent at best and they refuse to even put a firm proposal on the table he said. Their motivations are suspect and there is simply no good reason to think they will actually show up at the end of the day. And for the big finish? And then what will shareholders be left with? A weakened Icahn-controlled Yahoo. When we saw Jerrys first WSJ interview we harbored the thought that perhaps the paper has somehow buttonholed him and got a few ad lib quotes out of him before he squirmed away. After all if he really wanted to go on a PR offensive why wouldnt he go on TV where hed have much more control of his message? But obviously Jerry and his strategists think theres a benefit to granting short discrete interviews while repeating the same talking points. And we still dont think its going to persuade any dissatisfied shareholders.Meanwhile Jerry spent some of his time in Sun Valley today not talking to reporters and chatting with his frenemies at Google GOOG. APAsked by a reporter if he will look to meet with co-founder Bill Gates or dealmaker Henry Vigil Yang said I dont think so.Yang did sit down with Google co-founders Larry Page and Sergey Brin after the daily lunch. The group chatted for more than 30 minutes at a shaded table in front of the duck pond at the Sun Valley resort a few tables away from a group of Sony executives.Brin said the men were just catching up and that Yang did not mention he would likely not speak with Microsoft. Brin characterized Yang as very calm in the face of some stressful situations.See Also Jerry To Microsoft Please Leave Me AlonePhotos via Reuters.

The end of an era

Steve Ballmer was sobbing. He repeatedly tried to speak and couldnt get the words out. Minutes passed as he tried to regain his composure. But the audience of 130 of Microsofts senior leaders waited patiently many of them crying too. They knew that the CEO was choked up because this executive retreat held in late March at a resort north of Seattle was the last ever for company co-founder Bill Gates as well as for Jeff Raikes one of the companys longest-tenured executives. Ive spent more time with these two human beings than with anyone else in my life Ballmer finally said. Bill and Jeff have been my North Star and kept me going. Bill Gates retired from the company after 32 years as co-founder guiding spirit and undisputed boss. Then following seven years as its flagship product the venerable Windows XP--arguably the most successful and certainly the most widely used operating system in computerdom--was pensioned off as well.Since June 30th original equipment makers OEMs like Dell Hewlett-Packard and Lenovo have ceased selling PCs loaded with Windows XP.
The Many Geeky Faces of Bill Gates a Capsule Biography

The Bill Gates that most people are familiar with is the socially awkward nerd who strong-armed his way into becoming the head of the largest software company in the world. In reality Gates is a smooth operator who despite his uncombed hair baby face and disheveled appearance knew exactly what he was doing every step of the way. He successfully transitioned from cocky college dropout to brass-knuckle negotiator to seasoned captain of industry eventually becoming the richest man in the world and a model philanthropist. This is a guy who really morphed over time says Mary Jo Foley a longtime Microsoft watcher and author of Microsoft 2.0 How Microsoft Plans to Stay Relevant in the Post-Gates Era. When I look at other CEOs -- guys like Oracle CEO Larry Ellison -- they havent changed much but Gates has really changed. I still think hes a hard-charging businessman though -- I dont think hes gone soft.Heres a look at some of the tricky transitions that Gates successfully navigated over the course of his career. Each of these changes were necessary and probably inevitable for any ambitious entrepreneur. Its a measure of Gates business acumen that he successfully pulled these off where many lesser entrepreneurs have failed.Transition One Coder to NegotiatorIf you told the 20-year-old Gates who co-founded Microsoft in 1975 that he actually pulled off his grand plan he probably wouldnt be surprised. And thats part of his charm.Back in 1980 when Gates was barely old enough to rent a car he walked into a room filled with IBM execs and sold them a product he didnt even have. IBM wanted to get into the computer business and Bill Gates wanted to get into the software business. He didnt have any negotiating skills but he landed a deal under which IBM licensed MS-DOS from Microsoft. It was a ridiculously advantageous arrangement since it gave Microsoft the freedom to license the operating system to any other computer maker -- which is what eventually fueled Microsofts fantastic growth.Hes not a rock star programmer but hes always had a knack for seeing where the industry is going. Hes not always right but hes a visionary in terms of seeing how markets and industries evolve Foley says.Transition Two Founder to Fortune 500 CEOMany entrepreneurs are fully brilliant leaders of startups but they crashand burn when those companies grew beyond the startup stage. Theres littleoverlap between the skill sets involved in running a small startup and thoserequired to steer a major corporation.Gates is one of the few to pull off both feats with aplomb. His management style worked really well when they were a scrappy upstart. He brought in young smart guys like him. But he had to tone it down whenMicrosoft became a big company. A ruthless management style doesnt work aswell with a company of 80000 people says Foley.Gates matured simultaneously with the company. He learned to tuck hisshirt in comb his hair and make polite cocktail conversation. When I was a summer intern at Microsoft in grad school in 1989 hehosted the summer MBA interns to a very nice backyard barbecue at his oldhouse before he got married. He worked the crowd expertly despite hisreputation for being ill-at-ease with people and gave everyone their chanceto ask him a question or two says Ted Weinstein a San Francisco-basedliterary agent.Transition Three Monopolist to Savvy DefendantHis visions didnt help when the feds came knocking in the late 1990s for one of the longest most drawn-out antitrust cases in U.S. history. In what has been famously characterized as the 1998 Rainman deposition Gates rocked back and forth in his chair at times snapping at prosecuting attorney David Boies and generally behaving like a temperamental child. The thing is it worked. Gates didnt give an inch. And roughly 10 years later even Boies concedes that Gates performance was spot on both in the deposition and on the stand in court. He was the most potentially effective witness Boies says. Nobody knew the stuff as well as he did and nobody had the passion for it that he did. I definitely would have called him to the stand ... Hes a very smart guy. Gates wasnt the most sympathetic witness though and in many ways it was a risk to let him testify. If youre going toe to toe with the government and the message you want to send is Come hell or high water were fighting this until the end then you do exactly what Gates did says Barbara Sicalides an antitrust attorney with Pepper Hamilton. But in any case where you have a client the size of Microsoft and where you have inflammatory documents its the sort of situation where youd want to think twice about fighting until the bitter end ... For the most part I think Microsofts lawyers were exactly right. Transition Four Captain of Industry to Venture Phi

So Long Bill Gates and Thanks for the Monopoly

Hes a merciless competitor a shameless fan of other peoples ideas and an unapologetic monopolist. And because of all that Bill Gates has done more to create the thriving computer industry than anybody else.As Gates prepares to retire from full-time work at Microsoft July 1 after 33 years of doing everything from writing code to defending his companys business practices in court many people are saying good riddance to the man most techies loved to hate. What the critics wont acknowledge is that it was Gates most obnoxious qualities that made it possible for the tech industry to grow as large as it has.In his prime Gates combined the monomania of the compulsive software programmer with the competitiveness of Attila the Hun said Nicholas Carr author of Does IT Matter? and The Big Switch. And that was a good thing. A lot of people see Microsoft as the enemy of openness and innovation but its worth remembering that it was the open architecture of the Microsoft-based PC that spurred massive creativity in both hardware and software and sped the adoption of computers both at home and at work Carr said.In fact the monopoly that Microsoft once had on computer operating systems was essential to the development of the computer industry enforcing a de facto standard that permitted thousands of software and hardware companies to blossom. width424 height346 scrollingno frameborder0 marginwidth0 marginheight0The Microsoft monopoly was one part luck one part business acumen. The lucky part When IBM asked Microsoft to provide an operating system for its new personal computer in 1980 Gates got the contract even though he didnt have an OS to sell. No problem. Gates immediately bought the rights to another operating system QDOS which he then recast as MS-DOS and sold to IBM.The savvy part Gates fledgling company was able to retain rights to the new operating system securing Microsofts place at the hub of the PC industry. Later Gates leveraged that monopoly into such complete dominance of the PC industry that Microsoft was able to collect payments from PC manufacturers for every PC they sold -- even if those PCs didnt carry a Microsoft operating system. That monopoly was bad for competitors who had arguably superior operating systems -- including later IBMs OS2. And it was built in large part on appropriating the best ideas of other companies from Gary Kildalls CPM to Apples Macintosh. But the upside was enormous because the monopoly created a stable environment where entrepreneurs could develop new companies and new products around a common platform.Without that standard the computer industry in the 1990s would have resembled the web today diverse vibrant and flowering with abundant innovation but also frequently broken because of the inability of disparate products to make the most basic connections with one another.Unlike oil pharmaceutical or steel monopolies are a necessary ingredient in the technology business Forrester Research founder George Colony wrote in a recent blog post. Its only when de facto standards like Windows or de jure standards like HTML become dominant that usefulness soars.Contrast that to the state of the internet today. While the web abounds in standards a frequent problem is that companies dont hew to them and since 1996 Microsoft has been guilty of this behavior too. Having trouble syncing your Google calendar with your Yahoo calendar? Wondering why your camcorder wont upload to your new Macbook your iPod cant share files with your friends MP3 players and your mobile phone cant display webpages properly? All of these problems are traceable to a lack of widely supported standards.Just imagine if the same chaos had reigned throughout the 1980s and early 1990s. Hardware manufacturers like Dell Hewlett Packard Compaq and IBM would still be battling it out with incompatible systems. And software like Lotus 1-2-3 WordPerfect and yes even Microsoft Office never would have achieved widespread success. Bill Gates made an unbelievable contribution said Netscape Opsware and Ning founder Marc Andreessen while speaking at a keynote with John Battelle at the Web 2.0 Expo in San Francisco earlier this year. Its hard to conceive what this industry would look like today if Microsoft hadnt standardized the OS ... I think the industry would be much smaller if that hadnt happened.Of course success breeds resentment and Gates aggressive business practices -- and less-than-polished personal style -- made him many enemies. The problem is when youre the biggest sequoia in the woods everyone wants to cut you down said Paul Santinelli a general partner with North Bridge Venture Partners a venture capital firm.Gates didnt help matters by overreaching once his companys monopoly was firmly established.Gates became kind of a Godfather figure in the i

Go Home Bill

This is the last week of full-time work at Microsoft for Bill Gates and given that I have written more than 40 columns about Microsoft over the years it wouldnt make much sense for me to ignore this event. Yet that is almost what I did which I believe is telling. It frankly didnt matter much to me that Bill was retiring. But then I figured longtime readers would expect a comment and perhaps there is some underlying theme here that IS worth 1500 words. So rather than a fond or relieved farewell to BillG Id like to use this occasion to ask some deeper questions How relevant is Microsoft today? and Does the departure of Bill Gates really matter?A few months ago producers from The Money Programme on BBC-2 called me to arrange an interview for the TWO ENTIRE SHOWS they were preparing on Bills retirement from Microsoft. No comparable calls came from the U.S. networks which didnt surprise me because 1 they wouldnt think so far in advance and 2 one executives retirement -- even Bill Gates -- simply isnt worth that level of coverage. This is one area on which I am sure Bill and I agree since he too is bemused by the hoopla. But since the BBC called so long ago Ive had plenty of time to think about the significance of this day both to us and to them. I finally figured The Money Programme was interested because of vestigial class consciousness in British culture and especially in British broadcasting. Bill Gates is viewed as a kind of industrial maharajah in some quarters more so the further you get from the USA. In those parts people still think he makes a difference to Microsofts success or failure. Clearly I disagree. If we were to place the importance of Bill Gates in the history of both Microsoft and the personal computer industry hed be up there with most anyone. Im not here to claim that Bills contributions werent significant because they were. At half a dozen points during the history of Microsoft Bill pushed or pulled in such a way to change the course of his company and the industry as a whole there is no doubt of that. The question is whether he REMAINS as important which he clearly doesnt or they wouldnt let him leave. If it would help Microsoft theyd prop up Bill like the body of Lenin in Red Square to motivate the troops and intimidate the competition. And hed let them do that too.Bill had to go. I cover the reasons for this in some detail below but like any executive position in a U.S. public company he could remain only as long as his value was perceived as higher than the liabilities he presented. One way of looking at this is that Bill is no longer needed by Microsoft. Raising kids you do your best to instill in them certain values that will continue to serve them well when you are gone. From that perspective the time is probably long past when Bill could really force change on Microsoft. This is proved I think by the debacle of Windows Vista which came in years late and WAY over budget still not working very well and missing most of the ambitious features that were originally promised. Vista happened on Bills watch with lots of folks like me pointing and criticizing for years before the OS finally shipped. If Bill had been able to do something about Vista he would have. Nobody -- NOBODY -- likes shipping bad products. The simple fact is that there was little to nothing Bill or any one person at Microsoft could do to save Vista. Bill helped create the environment that inevitably led to Vista but having done that he was unable to change that environment enough to avoid shipping a bad product.Jim Allchin took the fall for Vista but its poor performance was the result of the actions of many Microsoft executives over many years. The last two executive actions on the part of Bill Gates that had singular effects on the future of Microsoft were 1 his 1995 Think Week that resulted in Microsoft shifting course to flow with the Internet Tidal Wave ultimately destroying Netscape and 2 his 1988 decision to back Jeff Raikes proposal to bundle most of Microsofts productivity applications into what they called Microsoft Office which effectively destroyed all Microsofts competitors for shrink-wrapped applications. The first action was that of a strong chief executive operating at the very top of his game while the second was that of a major shareholder who was willing to accept lower earnings in the short term for the long-term success of his investment. These were radical and dynamic positions to take that resulted in creating thousands of millionaires in the greatest peacetime transfer of wealth since OPEC. But they were also 13 and 20 years ago respectively. If Gates took another Think Week and determined Microsofts future lay in baked goods or virtualization could he turn the entire company toward one or both of those product directions today? I dont think so.No one person can control Microsoft today which has been obvious to Gat
